Client Description:
Enterprise Telecommunications of Lao is a leading provider of telecommunications products and services in the Lao PDR.
Challenge:
The company sought to transition from a 100% state-owned enterprise into a public company in preparation for listing its shares on the recently established Lao Securities Exchange. The company required advice on legal requirements and business strategies in order to most efficiently transfer and convert its state owned assets to its new public enterprise in compliance with laws and regulations of Lao PDR.
Solution:
LLC revised all corporate documents to ensure their compliance with laws and regulations of Lao PDR. LLC drafted legal documents including:

Due Diligence report, covering items unique to an IPO, including but not limited to, confirming that the company satisfies all requirements of Lao PDR securities laws and regulations and to made aware of any legal risks or issues that should be disclosed in a Prospectus, and provided advise how they may be resolved;

documents required for registering as a public company and obtaining required approvals including; Approval of the Articles of Association from the Investment Promotion Department, Enterprise Registration Certificate from the Ministry of Industry and Commerce, Tax Registration Certificate from the Ministry of Finance, Company Seal from the Ministry of Security, and authorization for display of Company Signs from the Ministry of Information & Culture;

documents to relevant authorities, including the Prime Minister’s Office and National Assembly, to apply for appropriate exemptions for listing on the Lao Securities Exchange; and
-
Prospectus for the company’s listing on the Lao Securities Exchange including the collation and review of company and industry information for publishing, the drafting and preparation of written sections of the Prospectus, as well as the organisation and formatting of the Prospectus in both Lao and English Languages.
Results:
Enterprise Telecommunications of Lao is now a duly licensed and registered public company with limited liability under the laws and regulations of the Lao PDR. The company expects to be listed on the Lao Securities Exchange by the end of 2011. |
